Vendor Terms & Conditions

These Vendor Terms & Conditions (“Vendor Terms”) govern the relationship between Stitch My Style, operated by Siarho Global Solutions Private Limited, and vendors who register and sell products or services on the Stitch My Style marketplace. By registering as a vendor, you agree to comply with these Vendor Terms in addition to the general Terms & Conditions and Privacy Policy.

1. Vendor Eligibility & Registration

  • Vendors must be at least 18 years of age and legally permitted to conduct business.
  • All information provided during registration must be accurate, complete, and up to date.
  • Stitch My Style reserves the right to approve, reject, or suspend vendor accounts at its discretion.

2. Document Verification

Vendors are required to submit valid identity, business, and address documents as requested. Product posting and selling privileges may remain restricted until verification is completed and approved.

3. Vendor Responsibilities

  • Vendors are solely responsible for the quality, accuracy, pricing, legality, and fulfillment of their products.
  • Product descriptions and images must be truthful and must not mislead customers.
  • Custom-stitched or made-to-order products must be clearly marked as such.
  • Vendors must comply with all applicable laws, including consumer protection and tax regulations.

4. Membership Plans & Limits

Vendors may subscribe to Free, Starter, Pro, or Custom membership plans. Each plan includes specific limits such as product count, storage space, and commission structure. Vendors are responsible for ensuring they remain within their plan limits.

5. Commission & Platform Fees

  • The platform charges commission based on the selected membership plan.
  • Commission may consist of a percentage of the order value and a fixed fee per order.
  • Commission rates and fees are subject to change with prior notice.
  • All commissions include platform usage, logistics coordination, and operational handling.

6. Orders, Shipping & Delivery

Shipping for customers may be offered as free and managed by the platform. Any shipping or logistics costs may be absorbed through the platform’s commission structure. Vendors must cooperate with order processing, packaging, and dispatch timelines.

7. Payments & Payouts

  • Payments from customers are collected through approved payment gateways.
  • Vendor payouts are processed after deducting applicable commissions and fees.
  • Payout timelines may vary based on payment gateway settlement cycles.
  • Vendors are responsible for providing accurate bank details.

8. Returns, Cancellations & Refunds

  • Return and refund eligibility depends on product type and vendor policy.
  • Custom-made or stitched products are generally non-returnable.
  • Vendors must cooperate in resolving customer complaints and disputes.

9. Prohibited Activities

Vendors must not:

  • List counterfeit, illegal, or prohibited items
  • Misuse customer data or contact customers outside the platform
  • Attempt to bypass platform commissions or payments
  • Engage in fraudulent, abusive, or misleading practices

10. Ratings, Reviews & Conduct

Vendors are expected to maintain professional conduct. Manipulation of reviews, ratings, or feedback is strictly prohibited and may result in account suspension.

11. Suspension & Termination

Stitch My Style reserves the right to suspend or terminate vendor accounts for violations of these Vendor Terms, platform policies, or applicable laws, with or without prior notice.

12. Limitation of Liability

Stitch My Style acts only as a marketplace platform and shall not be liable for disputes, losses, or damages arising between vendors and customers.

13. Governing Law & Jurisdiction

These Vendor Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Telangana, India.
